  • Different Flavors of Leases Back On

    Given the continued interest regarding the proposed changes to Lease Accounting, I decided to write another entry on this controversial topic with colorful commentary from our resident accounting expert, Seamus Moran. Background (A History Lesson) Back in 1976, the FASB issued FAS 13, “Accounting for Leases” that permitted leases to be either an operating lease or capital (finance) lease. In substance, operating leases are a form of off-balance sheet financing. According to Seamus, operating leases date back to the launch of the Boeing 707 in the 1950s.  Because the aircraft was so much more expensive than previous aircrafts, the industry came up with the operating lease concept to accommodate these jet liners that dominated air transport.  How it worked was the bank would buy the plane and lease it to the airline.  Because the bank never controlled or flew the plane, they never placed the asset on their balance sheet, and because the airline never owned the plane, they didn’t place it on their balance sheet either. They simply treated the monthly lease payments as rental expenses on the P&L.   August 2010 Original Lease Accounting Changes In August 2010, FASB and IASB decided to overhaul lease accounting as part of their joint commitment “to insure that investors and other users of financial statements are provided useful, transparent, and complete information about leasing transactions in the financial statements.”  Some say that the current lease accounting standards are broken because it keeps assets off the balance sheet, hidden from investors’ view. The original proposal abolished operating leases and only permitted capital leases where all leases would be recorded on the balance sheet as assets and liabilities. The asset side would reflect the right to use the asset for the leased term, and the liability side would reflect the obligation to make lease payments.   Why Companies Were Freaking Out According to the SEC, the financial impact of the aforementioned lease changes was estimated to add more than $1.3 trillion of operating lease obligations to corporate balance sheets. Many companies in various industries, especially retail, are concerned because the changes are significant and will impact existing leases with no grandfather clause for existing operating leases. Of course, the banks and airlines I mentioned earlier really hate this because neither wants to report the airplane (now costing around $60 M) as an asset. Regular companies were concerned that they would have to report routine short term leases of real estate or equipment as fixed assets, even though they were really just longer term rentals.  One company we spoke to leased roadside billboards, and really did not consider them to be fixed assets in any way. Obviously, these changes would have had a profound and lasting effect on a company’s financial and real estate strategies and significantly impact its financial statements.  Financial statements would show higher depreciation and interest expense with significantly higher total assets and debt. In terms of financial metrics, they’re negatively impacted. It would raise a company’s debt-to-capital ratio to reflect the higher debt compared to equity, it would negatively impact their return-on-assets because now companies will appear more asset intensive, and it will decrease EPS, lowering shareholder ROI. Feb. 2011 Recent Update The comment period on leases closed in December 2010. The FASB and the IASB have met several times since then and published their initial responses to the input they received from the various interested parties.  They are “redeliberating” the principles involved in Lease Accounting.  Some of the issues they are looking at include: The core definition of a lease.  This will articulate principles on what is a lease and what is “not-a-lease.” One theory or supposition is that they might define a lease as the transfer of certain but not all major ownership attributes for a certain period of time.  So a year’s lease of an aircraft might be a “lease,” but a year’s lease of half a floor in an office building would be “not-a-lease.”  The ownership attributes transferred from the core owner to the user are different; the airline must maintain, paint, and do whatever it needs to do on the aircraft. However, the office renter will have strictly limited rights in respect to the rented space. The differences between a lease contract and service contract.  Even if they call them “leases” for the purpose of commercial law, a service contract might not be accounted for as a lease. The accounting to be done by the lessee.  They would define when the bank or landlord would retain the asset on their balance sheet, and perhaps by implication, when the lessor would not need to include the asset on theirs.  So if the finance house keeps the airplane or office on their balance sheet, the tenant doesn’t need to.  I’m not sure that I can draw the opposite conclusion where the finance house doesn’t report but the tenant must. The difference, if any, between a financing lease and other leases, and the implications to the accounting. The present value calculation when renewable terms exist. They have reduced the circumstances in which one must look at the renewable terms of a lease in calculating the present value.  In most circumstances, you will use the lease term rather than the potential renewable term. Their latest discussion this past week with the contents of the discussion was not available at the time of me writing this entry.  For more details, the results of the discussions are posted on both the FASB and the IASB websites. Implied Software Changes Whatever the final rules turn out to be, all ERP systems, such as Oracle E-Business Suite, PeopleSoft Enterprise, JD Edwards, and Oracle Hyperion will need to change their software to accommodate the new rules. The following lists some changes that might have to be made to accounting software depending on what the final standards will be in June 2011: Lease tracking may require modifications with tracking of additional lease details that might require a centralized repository to maintain Accounting may need to be modified as there are many changes to how capital leases and the new “other than finance” leases are accounted for both on the lessee and lessor side.  For example, valuation, amortization, and disclosure will be considerably different requiring different types of data to be captured. Companies may need to modify their chart of accounts depending on how they want to track leases, which could then impact financial reporting and consolidation Business processes may require changes which could then impact internal controls Software applications may need to perform more advanced computations on leases Reports and KPIs may need to reflect new operating metrics Hold Onto Your Seats           Before you redo all your lease agreements and call your software vendors asking when the changes to the software will be made, remember that the rules are not finalized yet, and from appearances, will not reflect the proposals in the exposure draft.  Not only are there objections to putting the operating lease assets on anyone’s balance sheet, there are lots of objections to subjectivity and the data required for the valuation.  According to Seamus, there is huge opposition from New York bankers, the airlines, the EU, the Communist Party of China (since it impacts their exporting business), and Republicans (hearing complaints from small and large businesses). Even if everyone can agree on the proposed changes, 2013 might be the earliest that companies would need to change how they report leases. The Boards will finish their deliberations in April, May or June 2011.  As we’ve seen with other Exposure Drafts, if the changes are minor and the principles met the General Acceptance consensus criteria, the Standard could be finalized at that time.  However, if substantial changes are made, a fresh exposure draft, comment period, and review period might be involved, too. Seamus added an interesting perspective. Even if the proposed changes do pass, don’t you think our customers, such as Boeing, GE Capital, United Airlines, etc. will be clever enough to come up with a new kind of financing arrangement that complies with the new accounting? How about the large retail customers, such as Best Buy and Macerich? Don’t you think they might simply cut deals around retail locations with new contracts that prevent their leases from being capital leases? Instead of blindly adapting the software to meet the principles outlined in the final standard, our software needs to accommodate how businesses will respond to the new rules. We cannot know our customers’ responses until the rules are finalized. Oracle is aware of the potential changes and is staying abreast of the developments through our domain expertise staff, our relationship with customers, our market awareness, and, of course, our relationships with the Big 4. This is part of our normal process with respect to worldwide regulatory compliance. Oracle products have been IFRS and GAAP compliant for years and we will continue to maintain those standards going forward.

  • ASP.NET MVC Application In Action - I (DailyJournal)

    Its been long due I was planning to write an article on creating some useful ASP.NET MVC application. I have code named it "DailyJournal". Its a simple application which allows creation of multiple activities and assign tasks to these activities. Its' kind of "Yet another Task/Todo application". Some points of warning before we move further with this application. This is just an early prototype. As such many of the design principles have been ignored. But, I try to cover that up in the next update once I get my head around this. The application in its current state supports the following features Create users Assign Activities to users Assign tasks to activities Assign a status to a task The user creation/authentication is being done by the default Membership provider. Most of the activities are highly visual i.e. you can drag-drop task to different areas, in-place edition of task details and so on.   The following are the current issues with the design which I promise to refactor in the second version. No Validations Fat Controller XSS/CSS vulnerable No Service model/abstraction yet. For the demo LINQ to SQL is implemented. No separation of layers UI Design et el...   • Javascript: Machine Constants Applicable?

    I write numerical routines for students of science and engineering (although they are freely available for use by anybody else as well) and am wondering how to properly use machine constants in a JavaScript program, or if they are even applicable. For example, say I am writing a program in C++ that numerically computes the roots of the following equation: exp(-0.7x) + sin(3x) - 1.2x + 0.3546 = 0 A root-finding routine should be able to compute roots to within the machine epsilon. In C++, this value is specified by the language: DBL_EPSILON. C++ also specifies the smallest and largest values that can be held by a float or double variable. However, how does this convert to JavaScript? Since a Javascript program runs in a web browser, and I don't know what kind of computer will run the program, and JavaScript does not have corresponding predefined values for these quantities, how can I implement my own version of these constants so that my programs compute results to as much accuracy as allowed on the computer running the web browser? My first draft is to simply copy over the literal constants from C++: FLT_MIN: 1.17549435082229e-038 FLT_MAX: 3.40282346638529e+038 DBL_EPSILON: 2.2204460492503131e-16 I am also willing to write small code blocks that could compute these values for each machine on which the program is run. That way, a supercomputer might compute results to a higher accuracy than an old, low-level, PC. BUT, I don't know if such a routine would actually reach the computer, in which case, I would be wasting my time. Anybody here know how to compute and use (in Javascript) values that correspond to machine constants in a compiled language? Is it worth my time to write small programs in Javascript that compute DBL_EPSILON, FLT_MIN, FLT_MIN, etc. for use in numerical routines? Or am I better off simply assigning literal constants that come straight from C++ on a standard Windows PC?

  • SharePoint 2010 PowerShell Script to Find All SPShellAdmins with Database Name

    Problem     Yesterday on Twitter my friend @cacallahan asked for some help on how she could get all SharePoint 2010 SPShellAdmin users and the associated database name.  I spent a few minutes and wrote up a script that gets this information and decided I’d post it here for others to enjoy.     Background     The Get-SPShellAdmin commandlet returns a listing of SPShellAdmins for the given database Id you pass in, or the farm configuration database by default.  For those unfamiliar, SPShellAdmin access is necessary for non-admin users to run PowerShell commands against a SharePoint 2010 farm (content and configuration databases specifically).  Click here to read an excellent guest post article my friend John Ferringer (twitter) wrote on the Hey Scripting Guy! blog regarding granting SPShellAdmin access.  Solution     Below is the script I wrote (formatted for space and to include comments) to provide the information needed.   • Removing 301 redirect from site root

    I'm having a look at a friends website (a fairly old PHP based one) which they've been advised needs re-structuring. The key points being: URLs should be lower case and more "friendly". The root of the domain should be not be re-directed. The first point I'm happy with (and the URLs needed tidying up anyway) and have a draft plan of action, however the second is baffling me as to not only the best way to do it, but also whether it should be done. Currently http://www.example.com/ is redirected to http://www.example.com/some-link-with-keywords/ using the follow index.php in the root of the Apache2 instance. <?php $nextpage = "some-link-with-keywords/"; header( "HTTP/1.1 301 Moved Permanently" ); header( "Status: 301 Moved Permanently" ); header("Location: $nextpage"); exit(0); // This is Optional but suggested, to avoid any accidental output ?> As far as I'm aware, this has been the case for around three years -- and I'm sorely tempted to advise to not worry about it. It would appear taking off the 301 could: Potentially affect page ranking (as the 'homepage' would disappear - although it couldn't disappear because of the next point...) Introduce maintainance issues as existing users would still have the re-directed page in their cache Following the above, introduce duplicate content Confuse Google/other SE's as to what the homepage actually is now I may be over-analysing this but I have a feeling it's not as simple as removing the 301 from the root, and 301'ing the previous target to the root... Any suggestions (including it's not worth it) are sincerely appreciated.

  • Working with documents and SharePoint - Best practices

    Follow these simple guidelines to make collaboration using SharePoint easier:1. File Name:While it is allowed to use spaces in your filename (and maybe it seems even logical to do so), don’t use them if your file will end up (or is born on) SharePoint. When you use the “download a copy” functionality, SharePoint will replace the spaces with an “_”. This might (will) result in inconsistency when you upload the “same” file again, since SharePoint will see this as a different file (since the filename is different). I recommend using a filename with Capitalization style naming guideline. For instance: the document “Overall governance model.docx” would be named “OverallGovernanceModel.docx”Use the TITLE field in the office applications to give your document a title (and subtitle and keywords, .) The title column can be used in a view in a library. You can get to the document properties by clicking on 'Office Button/Prepare/Properties'. (Office 2007). This is metadata that is stored with the document, and will remain in the document (even if you exchange this document via e-mail, via an external hard drive). The filename cannot be longer than 128 characters. (and that is IMHO far beyond reasonable) You cannot use any of these characters: ” # % & * : < > ? \ / { | } ~ 2. Versioning:SharePoint has a built-in versioning system. You can work with major (published) versions, and minor (draft) versions. Of each of these two document types, you can store a numbers of versions that are kept. Watch out, each version is saved, not only the delta between 2 versions, and this counts to your Site Collection Quota. (Example: you have a Word document with a size of 2 MB. When you keep 5 Drafts this will result in storing (and consuming) 10 MB.So, don’t call your document “NewUserAccountProcessDRAFTv1.docx”, but “NewUserAccountProcess.docx” and use versioning setting in your library.You can enable views on your library to display the version number.You can enable the version number to be displayed in a Word document.3. Use MetadataUse metadata to assign other properties to documents, so it can be easily identified, sorted- or grouped by.

  • Entity Framework 4 mapping fragment error when adding new entity scalar

    I have an Entity Framework 4 model-first design. I create a first draft of my model in the designer and all was well. I compiled, generated database, etc. Later on I tried to add a string scalar (Nullable = true) to one of my existing entities and I keep getting this type of error when I compile: Error 3004: Problem in mapping fragments starting at line 569: No mapping specified for properties MyEntity.MyValue in Set MyEntities. An Entity with Key (PK) will not round-trip when: Entity is type [MyEntities.MyEntity] I keep having to manually open the EDMX file and correct the XML whenever I add scalars. Ideas on what's going on?

  • microphone volume control from javascript

    I'd like to be able to control the system microphone volume from the browser. I know that the microphone can be recorded from using Flash or Silverlight, but these don't allow control of the microphone volume. (Flash has Microphone.gain, but as its just a software multiplier, it doesn't help when the system mic volume is muted or too loud.) I've heard that HTML5 will have some sort of microphone access, but whether it will allow volume control is unclear to me. At any rate, I don't think any browsers support it yet. Are there any plugins that would allow volume control? The old Google Gears project has some AudioApi docs, though these don't seem to have made it into the actual plugin. There's also the Google Talk plugin- it seems to do some kind of gain control, but its unclear if there's an api to the plugin. Perhaps there's a draft HTML5 implementation plugin for microphone access (like indexeddb, for example)?

    I've been reviewing the draft version of the upcoming C++0x standard. Specifically the section on lambdas, and am confused as to the reasoning for not introducing polymorphic lambdas. I had hoped we could use code such as the following: template<typename Container> void foo(Container c) { for_each(c.begin(),c.end(),[](T& t) { ++t; }); } What were the reasons: Was it the committee ran out of time? That polymorphic lambdas are too hard to implement? Or perhaps that they are seen as not being needed by the PTB?

  • How to sketch out an event-driven system?

    I'm trying to design a system in Node.js (an attempt at solving one of my earlier problems, using Node's concurrency) but I'm running into trouble figuring out how to draw a plan of how the thing should operate. I'm getting very tripped up thinking in terms of callbacks instead of returned values. The flow isn't linear, and it's really boggling my ability to draft it. How does one draw out an operational flow for an event-driven system? I need something I can look at and say "Ok, yes, that's how it will work. I'll start it over here, and it will give me back these results over here." Pictures would be very helpful for this one. Thanks. Edit: I'm looking for something more granular than UML, specifically, something that will help me transition from a blocking and object-oriented programming structure, where I'm comfortable, to a non-blocking and event driven structure, where I'm unfamiliar.

  • Why CSS Transitions -module does not support image-to-image transitions?

    Hi, I've read the spec for CSS Transitions Module Level 3 and I'd like to know why it does not support image-based transitions. According to the draft, the background-image transitions are only supported when using with gradients. Both Webkit and Gecko seems to follow this practice. It's just that I see this as a major drawback. HTML 5 and CSS 3 could become the killer of Flash, but if I can't even transit between two images, I don't see how one could have beautiful menus without Flash.

    I need to build some sort of a custom CMS for a client of ours. These are some of the functional requirements: Must be able to manage the list of Pages in the site Each Page can contain a number of ColumnGroups A ColumnGroup is nothing more than a list of Columns in a certain ColumnGroupLayout. For example: "one column taking up the entire width of the page", "two columns each taking up half of the width", ... Each Column can contain a number ContentBlocks Examples of a ContentBlock are: TextBlock, NewsBlock, PictureBlock, ... ContentBlocks can be given a certain sorting within a Column A ContentBlock can be put in different Columns so that content can be reused without having to be duplicated. My first quick draft of how this could look like in C# code (we're using ASP.NET 4.0 to develop the CMS) can be found at the bottom of my question. One of the technical requirements is that it must be as easy as possible to add new types of ContentBlocks to the CMS. So I would like model everything as flexible as possible. Unfortunately, I'm already stuck at trying to figure out how the database should look like. One of the problems I'm having has to do with sorting different types of ContentBlocks in a Column. I guess each type of ContentBlock (like TextBlock, NewsBlock, PictureBlock, ...) should have it's own table in the database because each has it's own different fields. A TextBlock might only have a field called Text whereas a NewsBlock might have fields for the Text, the Summary, the PublicationDate, ... Since one Column can have ContentBlocks located in different tables, I guess I'll have to create a many-to-many association for each type of ContentBlock. For example: ColumnTextBlocks, ColumnNewsBlocks and ColumnPictureBlocks. The problem I have with this setup is the sorting of the different ContentBlocks in a column. This could be something like this: TextBlock NewsBlock TextBlock TextBlock PictureBlock Where do I store the sorting number? If I store them in the associaton tables, I'll have to update a lot of tables when changing the sorting order of ContentBlocks in a Column. Is this a good approach to the problem? Basically, my question is: What is the best way to model this keeping in mind that it should be easy to add new types of ContentBlocks? My next question is: What ORM can deal with that kind of modeling? To be honest, we are ORM-virgins at work. I have been reading a bit about Linq-to-SQL and NHibernate, but we have no experience with them. Because of the IList in the Column class (see code below) I think we can rule out Linq-to-SQL, right? Can NHibernate handle the mapping of data from many different tables to one IList? Also keep in mind that this is just a very small portion of the domain. Other parts are Users belonging to a certain UserGroup having certain Permissions on Pages, ColumnGroups, Columns and ContentBlocks. I can interpret this in two different ways: Comments that contain the string "--" can be represented in XML and in the DOM but not in the HTML syntax Comments that contain the string"--" can be represented in the DOM but neither in the HTML syntax nor in XML. I really find the original formulation highly confusing. Which one does it mean and is it even correct english? Who should I contact if I want to point out that I find such a wording highly confusing and that hence there's a high probability that other non-native english speaker would find this kind of formulation highly confusing too?
