  • Tracking SVN changes through multiple merges

    At work we use a branching strategy where all changes start off in a development branch, then subsequently make their way through one or more integration branches, and finally end up in a release branch. Occasionally (more often than I'd like) I find myself needing to figure out where a particular change originated (which development branch). In this case I have to spend a considerable amount of time playing detective to trace a change backwards through 2-3 merges. Am I missing an easy way to do this?

  • Can two mocha for After Effects X-Spline Layers be merged ?

    Hello, I'm new to mocha for After Effects, but like the auto tracking feature. There are a few markers I'm adding, but there's one which is giving me a bit of a headache. I'm tracking a circle that moves around a larger object, so it moves in front of it initially, then behind, being occluded by the larger object, then in front again. I tried to track the circle in the first part(when it's in front, before being occluded) and in the second part(when it's in front again, coming out on the other side of the large object) using a single X-Spline. The problem is the second part starts in a different location and I don't know how to 'move' the X-Spline to the new position and track from there, without affecting the previous keyframes. As a workaround I use two X-Spline Layers, export the data to .txt files, then manually merge the two files into a new one containing keyframes from both X-Spline Layers. Is there an easier way to do this (either merging two X-Spline Layer, or using a single X-Spline Layer that can move to a new location without affecting previous keyframes) ? Any suggestion would help.

    My company is sort off at a stand still when it comes to our technician ticketing and inventory system. We currently use Numara TrackIt! - which isn't cutting it to say the least. Dell recommended KACE, but it's web based which is what we would like to avoid. We need a good ticketing and inventory system with the following: Server/Client setup Client supports XP/Windows 7 Ent. Web Based as well as Client is a plus Technician ticketing Active Directory integration Inventory System (Asset tag tracking etc/PO tracking) Exchange integrated - when tickets are made you have an option to send to the requester. Something that will scale well Please, if anyone is a Systems Admin or has knowledge regarding use of a great ticketing system please let me know. We have a large international corporation - price honestly isn't an issue. Keep in mind this will be mainly used for technicians to create tickets, enter inventory(track PCS) and possible even an option to track purchase orders. We want an enterprise level ticketing system with these capabilities please help! Thank you.

    So I thought I would  change the name of my machine so that the other devs can find the TFS server easily. TFS 2005 would use the cool cmd line util tfsadminutil.....alas he is now gone HERE Are the steps to complete Edit the web.config and is usually located on default install C:\Program Files\Microsoft Team Foundation Server 2010\Application Tier\Web Services\web.config <add key="applicationDatabase" value="Data Source=JUSTIN\SQLI01;Initial Catalog=Tfs_Configuration;Integrated Security=True;" /> Next step is to edit previous Solutions/Projects 1) Open the Solution file i.e ProductApp.sln 2) Edit the SccTeamFoundationServer URL under Global section i.e Change this to new name   If you have DB server on same machine ...you will need to go in and remove existing db user account assigned to the tfs DB Remove old [%machine_name%] value i.e Tuned_Dev_PC_12\Justin user from the above DBs No add the new Justin\Justin user account associated with the new machine name to the TFS & Reporing dbs ... dbo or the TFSADMIN & TFSEXEC roles either will do in this case. (or add both ) Now either ReApply user or add New account (remove old account i.e Tuned_Dev_PC_12\justin) If DB permisions are setup correctyly you will get a screen that looks like this   If it pauses or gets stuck you need to look back at the adding correct DB Perms to the i.e JUSTIN\Justin user account Also if your project is still complaining about old TFS name 1) Team\Connect new Team Foundation Server 2) Add\Remove TFS 3) Add New TFS Name  Once you have connected to the new TFS server Reload your project from TFS..this way it removes a lot of the bugs that hang around in the local project\solution This is similar to a VSS2005 and older fix Cheers ( eta about 60-90 mins so weigh up the the need vs payoff. ) Shutdown restart

  • Change in Job Title and Responsibilities

    I've spent the past 7 years focused primarily on code and database performance.  It's an area that I have a passion for, as well as a propensity.  But what I've found is that its very hard to change the culture of a development environment.  You can teach performance, you can encourage performance, you might see slight shift in how devs think about performance.  But without full management backing and support you wont get long lasting changes in the development culture.  And in the end, you are back to being the "Perf Guy", fixing performance design flaws, after the fact, one by one by one. Which is why last year I asked my boss to changed my title and responsibilities to more naturally align with the team I was working for.  So now I'm a Computing Research Engineer (vague, I know), researching in the field of Big Data analytics and visualization. I've found this change revitalizing and a lot of fun.  And given the nature of Big Data (its, um…big) the performance aspects are always ever present.

  • Change power button to 'Ask' in Xubuntu 13.10

    I have recently installed Xubuntu 13.10 on my Vaio vpcea making me a Linux beginner. The problem is that laptop's power button is right on the edge of the bezel making it far too easy to press accidentally, in my opinion a design fault by Sony. At present, when I press the power button it shuts down strait away and as you can imagine, when I'm accidentally pressing it all the time it gets very annoying! So I planned to change it to ask what I would like to do when I press it or at least ask if I'm sure. So I went through the xfce GUI options "Settings Manager" - "Power Manager" to the field "When power button is pressed", but it was already set to "Ask". So I did some digging and found a thread telling me to navigate to /etc/xdg/xfce4/xfconf/xfce-perchannel-xml/xfce4-power-manager.xml where it said to find power-button-action and check that value="3". It already did. So I looked some more and found this thread which focuses on acpi scripts. I tried solution 1 & 2 using sudoedit to change the files accordingly (I have made executable bash shell scripts already so I think I followed them correctly), but still no difference. I also found this thread which instructed me to edit /etc/systemd/logind.conf so that HandlePowerKey=ignore. Still no luck. I even tried my own approach to completely disable /etc/acpi/powerbtn.sh by renaming it powerbtn.sh.bak hoping for at least no response from the power button... and I have done many reboots in between... but still it shuts down! I have also read that some people have the file /etc/acpi/events/power_button, but I do not. So does anyone have any other ideas? What else could be executing the shutdown sequence Is there something I'm missing? I haven't undone any of these actions so every one of the above files is currently edited on my computer, with the exception that "Solution 2" automatically undone "Solution 1" above. Thanks guys.

  • Cron not able to succesfully change background

    I'm running 12.04 with a custom XML background (modification on Day of Ubuntu) that changes based on time of day. I've noticed that there's a significant delay between when the changes are scheduled to take place in the XML file and when they actually show up on the background. I've also noticed that when I resume from suspend I don't get the correct background image either. I've found that cycling the wallpaper manually will fix this, and I've written a script to automate the process. If I execute the script manually it works fine. However, when I schedule the script to run in cron, cron doesn't change the background. To make sure that the script was being run properly by cron, I had it create a directory in my home folder after running the background change, and the directory is created successfully, so I know cron is running and executing the script. My script: #!/bin/bash sleep 5 gsettings set org.gnome.desktop.background picture-uri file:///home/zak/Pictures/Wallpaper/DOU2.xml sleep 1 gsettings set org.gnome.desktop.background picture-uri file:///home/zak/Pictures/Wallpaper/DOU.xml sleep 1 mkdir /home/zak/iscronworking exit Is cron just not able to access gsettings? The job is on my user crontab so it shouldn't be running as root. Alternately, is there any way to make Precise play nicely with XML wallpaper?

    I have an box2d project with some bodies in it, which move around without any user interaction. But if the user selects one of the bodies, he should be able to move it around just like he wants to. To keep it short, I want to change the type of the body to "kinematic" while the user controls it and back to "dynamic" afterwards. If I do so the rotation center of the body changes with the change of the type. How can I reset this? The body's fixture is created of a single b2PolygonShape, with its vertices set via SetAsArray(). Greetings philipp EDIT:: So I looked around about setting the local center of bodies. what brought me to this solution: var md = new b2MassData(); this.body.GetMassData( md ); this.body.SetType( b2body.b2_kinematicBody ); this.body.SetMassData( md ); that did not work, so I had a look at the source and found that SetMassData() always returns if the body is not "dynamic". So I tried this: var md = new b2MassData(); this._body.GetMassData( md ); this._body.SetType( b2Body.b2_kinematicBody ); this._body.m_sweep.localCenter.Set( md.center.x, md.center.y ); what actually is modifying the private data of the body. But it works and no errors appear, but can I really do this without the risk of breaking the application, or in other words, under which circumstances could this solution might cause errors? n.b.: I am using box2dweb of the latest release.     I want the display text on an Action on a Node to show something about the underlying object. But the Action is registered somewhere in the layer (i.e., in the registry), i.e., I have no control over it. How do I change the display text in this scenario? Here's how.   • Updating an ADF Web Service Data Control When Service Structure or Location Change

    The web service data control in Oracle ADF gives you a simplified approach to consuming services in ADF applications, and now with ADF Mobile the usage of this service seems to be growing. A frequent question we get is what happens if the service that I'm consuming changes - how do I update my data control? Well, first we should mention that if you do a good design of your application before you actually code - then things like Web service method signature shouldn't change. The signature is the contract between the publisher and the consumer, and contracts shouldn't be broken. But in reality things do change during development stages, so here is how you can update both method signatures and service location with the Web service data control: After watching this video you might be tempted to not copy the WSDLs to your project - which lets you use the right click update on a data control. However there is a reason why the copy is on by default, it reduces network traffic when you are actually running your application since ADF doesn't need to go to the server to find out the service structure. So for runtime performance, you probably should keep the WSDL local.  I encourage you to further look into both the connections.xml file where your service location is saved, and the datacontrols.dcx file where its definition is kept to get an even deeper understanding of how ADF works underneath the declarative layers.

  • Requesting quality analysis test cases up front of implementation/change

    Recently I have been assigned to work on a major requirement that falls between a change request and an improvement. The previous implementation was done (badly) by a senior developer that left the company and did so without leaving a trace of documentation. Here were my initial steps to approach this problem: Considering that the release date was fast approaching and there was no time for slip-ups, I initially asked if the requirement was a "must have". Since the requirement helped the product significantly in terms of usability, the answer was "If possible, yes". Knowing the wide-spread use and affects of this requirement, had it come to a point where the requirement could not be finished prior to release, I asked if it would be a viable option to thrash the current state and revert back to the state prior to the ex-senior implementation. The answer was "Most likely: no". Understanding that the requirement was coming from the higher management, and due to the complexity of it, I asked all usability test cases to be written prior to the implementation (by QA) and given to me, to aid me in the comprehension of this task. This was a big no-no for the folks at the management as they failed to understand this approach. Knowing that I had to insist on my request and the responsibility of this requirement, I insisted and have fallen out of favor with some of the folks, leaving me in a state of "baffledness". Basically, I was trying a test-driven approach to a high-risk, high-complexity and must-have requirement and trying to be safe rather than sorry. Is this approach wrong or have I approached it incorrectly? P.S.: The change request/improvement was cancelled and the implementation was reverted back to the prior state due to the complexity of the problem and lack of time. This only happened after a 2 hour long meeting with other seniors in order to convince the aforementioned folks.

  • How to change careers

    For the past 4 years I have worked in c# doing web development. I have really enjoyed it, learnt a lot and have a worked hard to get to a position where I am earning good money and enjoy the work. However lately - I have wanted a change. What with the "native renaissance" I would like to change my career from being high level application and web development to more down to the metal native development. I haven't done any c or c++ since Uni over 4 years ago and so I have begun reading text books and websites to brush up. However - one major issue I have is that I have no practical experience with C++ and although I am brushing up on it, there will be a lot I don't know. Most of the jobs I have seen in native code around me all require native experience. The only positions I can find that don't explicitly ask for native experience are junior level positions. In my current role I am a mid level developer and although there would be a lot to learn in a c++ position, I wouldn't class myself as a junior. I guess my question is, how do people solve this issue when changing programming languages for their profession and / or how would you approach this hurdle? Like I said, I would really like to try out native development professionally but I wouldn't want to move back to a junior role. Would employers consider years of managed development and native hobby projects enough experience?

    I'm trying to change the XAMPP's web root default directory /opt/lampp/htocs to another one like /home/me/Dropbox/public_html without success. I've edited the file /opt/lampp/etc/httpd.conf # old line: DocumentRoot "/opt/lampp/htdocs" DocumentRoot "/home/me/Dropbox/public_html" #...etc... # old line: <Directory "/opt/lampp/htdocs"> <Directory "/home/me/Dropbox/Work/public_html"> # # Possible values for the Options directive are "None", "All", # or any combination of: # Indexes Includes FollowSymLinks SymLinksifOwnerMatch ExecCGI MultiViews # etc... I've did this as said in this article: Using Ubuntu One to synchronise htdocs? Then I've restarted Apache and I've got a permission error 403 on every page I've called with the web browser. So I've changed folder and files permission to 755. I've did this as said in this article: What file permissions should I set on web root? The problem still remains the same, I have the 403 error on every page I try to reach with the web browser. I have the same problem on a Mac using XAMPP. So everythig works fine if the folder remains the original /opt/lampp/htocs. How can I change it correctly?

  • Customize your icons in Windows 7 and Vista

    Want to change out the icons on your desktop and more?  Personalizing your icons is a great way to make your PC uniquely yours,, and today we show you how to grab unique icons, and default Winnows. to be your own. Change the icon for Computer, Recycle Bin, Network, and your User folder Right-click on the desktop, and select Personalize. Now, click the “Change desktop icons” link on the left sidebar in the Personalization window. The window looks slightly different in Windows Vista, but the link is the same. Select the icon you wish to change, and click the Change Icon button.  In Windows 7, you will also notice a box to choose whether or not to allow themes to change icons, and you can uncheck it if you don’t want themes to change your icon settings. You can select one of the other included icons, or click browse to find the icon you want.  Click Ok when you are finished. Change Folder icons You can easily change the icon on most folders in Windows Vista and 7.  Simply right-click on the folder and select properties. Click the Customize tab, and then click the Change Icon button.  This will open the standard dialog to change your icon, so proceed as normal. This basically just creates a hidden desktop.ini file in the folder containing the following or similar data: [.ShellClassInfo]IconFile=%SystemRoot%\system32\SHELL32.dllIconIndex=20 You could manually create or edit the file if you choose, instead of using the dialogs. Simply create a new text file named desktop.ini with this same information, or edit the existing one.  Change the IconFile line to the location of your icon. If you are pointing to a .ico file you should change the IconIndex line to 0 instead. Note that this isn’t available for all folders, for instance you can’t use this to change the icon for the Windows folder.   In Windows 7, please note that you cannot change the icon of folder inside a library.  So if you are browsing your Documents library and would like to change an icon in that folder, right-click on it and select Open folder location.  Now you can change the icon as above. And if you would like to change a Library’s icon itself, then check out this tutorial: Change Your Windows 7 Library Icons the Easy Way Change the icon of any file type Want to make you files easier to tell apart?  Check out our tutorial on how to simply do this: Change a File Type’s Icon in Windows 7 Change the icon of any Application Shortcut To change the icon of a shortcut on your desktop, start menu, or in Explorer, simply right-click on the icon and select Properties. In the Shortcut tab, click the Change Icon button. Now choose one of the other available icons or click browse to find the icon you want. Change Icons of Running Programs in the Windows 7 taskbar If your computer is running Windows 7, you can customize the icon of any program running in the taskbar!  This only works on applications that are running but not pinned to the taskbar, so if you want to customize a pinned icon you may want to unpin it before customizing it.  But the interesting thing about this trick is that it can customize any icon anything running in the taskbar, including things like Control Panel! Right-click or click and push up to open the jumplist on the icon, and then right-click on the program’s name and select Properties.  Here we are customizing Control Panel, but you can do this on any application icon. Now, click Change Icon as usual. Select an icon you want (We switched the Control Panel icon to the Security Shield), or click Browse to find another icon.  Click Ok when finished, and then close the application window. The next time you open the program (or Control Panel in our example), you will notice your new icon on its taskbar icon. Please note that this only works on applications that are currently running and are not pinned to the taskbar.  Strangely, if the application is pinned to the taskbar, you can still click Properties and change the icon, but the change will not show up. Change the icon on any Drive on your Computer You can easily change the icon on your internal hard drives and portable drives with the free Drive Icon Changer application.  Simply download and unzip the file (link below), and then run the application as administrator by right-clicking on the icon and selecting “Run as administrator”. Now, select the drive that you want to change the icon of, and select your desired icon file. Click Save, and Drive Icon Changer will let you know that the icon has been changed successfully. You will then need to reboot your computer to complete the changes.  Simply click Yes to reboot. Now, our Drive icon is changed from this default image: to a Laptop icon we chose! You can do this to any drive in your computer, or to removable drives such as USB flash drives.  When you change these drives icons, the new icon will appear on any computer you insert the drive into.  Also, if you wish to remove the icon change, simply run the Drive Icon Changer again and remove the icon path. Download Drive Icon Changer This application actually simply creates or edits a hidden Autorun.inf file on the top of your drive.  You can edit or create the file yourself by hand if you’d like; simply include the following information in the file, and save it in the top directory of your drive: [autorun]ICON=[path of your icon] Remove Arrow from shortcut icons Many people don’t like the arrow on the shortcut icon, and there are two easy ways to do this. If you’re running the 32 bit version of Windows Vista or 7, simply use the Vista Shortcut Overlay Remover. So, essentially this task has burned 1 hour per day Sprint Burn Down Chart – What’s not possible? The Sprint burn down chart is calculated from the System.AuthorizedDate and not the System.ChangedDate/System.CreatedDate. So, though you can change the System.ChangedDate and System.CreatedDate to historic dates you will not be able to synthesize the sprint burn down chart. Image 1 – By changing the Created Date and Changed Date to ‘18/Oct/2012’ you would have expected the burn down to have been impacted, but it won’t be, because the sprint burn down chart uses the value of field ‘System.AuthorizedDate’ to calculate the unfinished work points. The AsOf queries that are used to calculate the unfinished work points use the value of the field ‘System.AuthorizedDate’. Image 2 – Using the above code I burned down 1 hour effort per day over 5 days from the task work item, I would have expected the sprint burn down to show a constant burn down, instead the burn down shows the effort exhausted on the 24th itself. Simply because the burn down is calculated using the ‘System.AuthorizedDate’. Now you would ask… “Can I change the value of the field System.AuthorizedDate to a historic date” Unfortunately that’s not possible! You will run into the exception ValidationException –  “TF26194: The value for field ‘Authorized Date’ cannot be changed.” Conclusion - You need to be a member of the Project Collection Service account group in order to set the fields ‘System.ChangedDate’ and ‘System.CreatedDate’ to historic dates - You need to instantiate the WorkItemStore using the flag ByPassValidation - The System.ChangedDate needs to be set to a historic date at the time of work item creation. You cannot reset the ChangedDate to a date earlier than the existing ChangedDate and you cannot reset the ChangedDate to a date greater than the current date time. - The System.CreatedDate can only be reset after a work item has been created. You cannot set the CreatedDate at the time of work item creation. The CreatedDate cannot be greater than the current date. You can however reset the CreatedDate to a date earlier than the existing value. - You will not be able to synthesize the Sprint burn down chart by changing the value of System.ChangedDate and System.CreatedDate to historic dates, since the burn down chart uses AsOf queries to calculate the unfinished work points which internally uses the System.AuthorizedDate and NOT the System.ChangedDate & System.CreatedDate - System.AuthorizedDate cannot be set to a historic date using the TFS API Read other posts on using the TFS API here… Enjoy!

  • PASS: Bylaw Change 2013

    PASS launched a Global Growth Initiative in the Summer of 2011 with the appointment of three international Board advisors.  Since then we’ve thought and talked extensively about how we make PASS more relevant to our members outside the US and Canada.  We’ve collected much of that discussion in our Global Growth site.  You can find vision documents, plans, governance proposals, feedback sites, and transcripts of Twitter chats and town hall meetings.  We also address these plans at the Board Q&A during the 2012 Summit. One of the biggest changes coming out of this process is around how we elect Board members.  And that requires a change to the bylaws.  We published the proposed bylaw changes as a red-lined document so you can clearly see the changes.  Our goal in these bylaw changes was to address the changes required by the global growth initiatives, conduct a legal review of the document and address other minor issues in the document.  There are numerous small wording changes throughout the document.  For example, we replaced every reference of “The Corporation” with the word “PASS” so it now reads “PASS is organized…”. Board Composition The biggest change in these bylaw changes is how the Board is composed and elected.  This discussion starts in section VI.2.  This section now says that some elected directors will come from geographic regions.  I think this is the best way to make sure we give all of our members a voice in the leadership of the organization.  The key parts of this section are: The remaining Directors (i.e. the non-Officer Directors and non-Vendor Appointed Directors) shall be elected by the voting membership (“Elected Directors”). Elected Directors shall include representatives of defined PASS regions (“Regions”) as set forth below (“Regional Directors”) and at minimum one (1) additional Director-at-Large whose selection is not limited by region. Regional Directors shall include, but are not limited to, two (2) seats for the Region covering Canada and the United States of America. Additional Regions for the purpose of electing additional Regional Directors and additional Director-at-Large seats for the purpose of expanding the Board shall be defined by a majority vote of the current Board of Directors and must be established prior to the public call for nominations in the general election. Previously defined Regions and seats approved by the Board of Directors shall remain in effect and can only be modified by a 2/3 majority vote by the then current Board of Directors. Currently PASS has six At-Large Directors elected by the members.  These changes allow for a Regional Director position that is elected by the members but must come from a particular region.  It also stipulates that there must always be at least one Director-at-Large who can come from any region. We also understand that PASS is currently a very US-centric organization.  Our Summit is held in America, roughly half our chapters are in the US and Canada and most of the Board members over the last ten years have come from America.  We wanted to reflect that by making sure that our US and Canadian volunteers would continue to play a significant role by ensuring that two Regional seats are reserved specifically for Canada and the US. Other than that, the bylaws don’t create any specific regional seats.  These rules allow us to create Regional Director seats but don’t require it.  We haven’t fully discussed what the criteria will be in order for a region to have a seat designated for it or how many regions there will be.  In our discussions we’ve broadly discussed regions for United States and Canada Europe, Middle East, and Africa (EMEA) Australia, New Zealand and Asia (also known as Asia Pacific or APAC) Mexico, South America, and Central America (LATAM) As you can see, our thinking is that there will be a few large regions.  I’ve also considered a non-North America region that we can gradually split into the regions above as our membership grows in those areas.  The regions will be defined by a policy document that will be published prior to the elections. I’m hoping that over the next year we can begin to publish more of what we do as Board-approved policy documents. While the bylaws only require a single non-region specific At-large Director, I would expect we would always have two.  That way we can have one in each election.  I think it’s important that we always have one seat open that anyone who is eligible to run for the Board can contest.  The Board is required to have any regions defined prior to the start of the election process. Board Elections – Regional Seats We spent a lot of time discussing how the elections would work for these Regional Director seats.  Ultimately we decided that the simplest solution is that every PASS member should vote for every open seat.  Section VIII.3 reads: Candidates who are eligible (i.e. eligible to serve in such capacity subject to the criteria set forth herein or adopted by the Board of Directors) shall be designated to fill open Board seats in the following order of priority on the basis of total votes received: (i) full term Regional Director seats, (ii) full term Director-at-Large seats, (iii) not full term (vacated) Regional Director seats, (iv) not full term (vacated) Director-at-Large seats. For the purposes of clarity, because of eligibility requirements, it is contemplated that the candidates designated to the open Board seats may not receive more votes than certain other candidates who are not selected to the Board. We debated whether to have multiple ballots or one single ballot.  Multiple ballot elections get complicated quickly.  Let’s say we have a ballot for US/Canada and one for Region 2.  After that we’d need a mechanism to merge those two together and come up with the winner of the at-large seat or have another election for the at-large position.  We think the best way to do this is a single ballot and putting the highest vote getters into the most restrictive seats.  Let’s look at an example: There are seats open for Region 1, Region 2 and at-large.  The election results are as follows: Candidate A (eligible for Region 1) – 550 votes Candidate B (eligible for Region 1) – 525 votes Candidate C (eligible for Region 1) – 475 votes Candidate D (eligible for Region 2) – 125 votes Candidate E (eligible for Region 2) – 75 votes In this case, Candidate A is the winner for Region 1 and is assigned that seat.  Candidate D is the winner for Region 2 and is assigned that seat.  The at-large seat is filled by the high remaining vote getter which is Candidate B. The key point to understand is that we may have a situation where a person with a lower vote total is elected to a regional seat and a person with a higher vote total is excluded.  This will be true whether we had multiple ballots or a single ballot.  Board Elections – Vacant Seats The other change to the election process is for vacant Board seats.  The actual changes are sprinkled throughout the document. Previously we didn’t have a mechanism that allowed for an election of a Board seat that we knew would be vacant in the future.  The most common case is when a Board members moves to an Officer role in the middle of their term.  One of the key changes is to allow the number of votes members have to match the number of open seats.  This allows each voter to express their preference on all open seats.  This only applies when we know about the opening prior to the call for nominations.  This all means that if there’s a seat will be open at the start of the next Board term, and we know about it prior to the call for nominations, we can include that seat in the elections.  Ultimately, the aim is to have PASS members decide who sits on the Board in as many situations as possible. We discussed the option of changing the bylaws to just take next highest vote-getter in all other cases.  I think that’s wrong for the following reasons: All voters aren’t able to express an opinion on all candidates.  If there are five people running for three seats, you can only vote for three.  You have no way to express your preference between #4 and #5. Different candidates may have different information about the number of seats available.  A person may learn that a Board member plans to resign at the end of the year prior to that information being made public. They may understand that the top four vote getters will end up on the Board while the rest of the members believe there are only three openings.  This may affect someone’s decision to run.  I don’t think this creates a transparent, fair election. Board members may use their knowledge of the election results to decide whether to remain on the Board or not.  Admittedly this one is unlikely but I don’t want to create a situation where this accusation can be leveled. I think the majority of vacancies in the future will be handled through elections.  The bylaw section quoted above also indicates that partial term vacancies will be filled after the full term seats are filled. Removing Directors Section VI.7 on removing directors has always had a clause that allowed members to remove an elected director.  We also had a clause that allowed appointed directors to be removed.  We added a clause that allows the Board to remove for cause any director with a 2/3 majority vote.  The updated text reads: Any Director may be removed for cause by a 2/3 majority vote of the Board of Directors whenever in its judgment the best interests of PASS would be served thereby. Notwithstanding the foregoing, the authority of any Director to act as in an official capacity as a Director or Officer of PASS may be suspended by the Board of Directors for cause. Cause for suspension or removal of a Director shall include but not be limited to failure to meet any Board-approved performance expectations or the presence of a reason for suspension or dismissal as listed in Addendum B of these Bylaws. The first paragraph is updated and the second and third are unchanged (except cleaning up language).  If you scroll down and look at Addendum B of these bylaws you find the following: Cause for suspension or dismissal of a member of the Board of Directors may include: Inability to attend Board meetings on a regular basis. Inability or unwillingness to act in a capacity designated by the Board of Directors. Failure to fulfill the responsibilities of the office. Inability to represent the Region elected to represent Failure to act in a manner consistent with PASS's Bylaws and/or policies. Misrepresentation of responsibility and/or authority. Misrepresentation of PASS. Unresolved conflict of interests with Board responsibilities. Breach of confidentiality. The bold line about your inability to represent your region is what we added to the bylaws in this revision.  We also added a clause to section VII.3 allowing the Board to remove an officer.  That clause is much less restrictive.  It doesn’t require cause and only requires a simple majority. The Board of Directors may remove any Officer whenever in their judgment the best interests of PASS shall be served by such removal. Other There are numerous other small changes throughout the document. Proxy voting.  The laws around how members and Board members proxy votes are specific in Illinois law.  PASS is an Illinois corporation and is subject to Illinois laws.  We changed section IV.5 to come into compliance with those laws.  Specifically this says you can only vote through a proxy if you have a written proxy through your authorized attorney.  English language proficiency.  As we increase our global footprint we come across more members that aren’t native English speakers.  The business of PASS is conducted in English and it’s important that our Board members speak English.  If we get big enough to afford translators, we may be able to relax this but right now we need English language skills for effective Board members. Committees.  The language around committees in section IX is old and dated.  Our lawyers advised us to clean it up.  This section specifically applies to any committees that the Board may form outside of portfolios.  We removed the term limits, quorum and vacancies clause.  We don’t currently have any committees that this would apply to.  The Nominating Committee is covered elsewhere in the bylaws. Electronic Votes.  The change allows the Board to vote via email but the results must be unanimous.  This is to conform with Illinois state law. Immediate Past President.  There was no mechanism to fill the IPP role if an outgoing President chose not to participate.  We changed section VII.8 to allow the Board to invite any previous President to fill the role by majority vote. Nominations Committee.  We’ve opened the language to allow for the transparent election of the Nominations Committee as outlined by the 2011 Election Review Committee. Revocation of Charters. The language surrounding the revocation of charters for local groups was flagged by the lawyers. We have allowed for the local user group to make all necessary payment before considering returning of items to PASS if required. Bylaw notification. We’ve spent countless meetings working on these bylaws with the intent to not open them again any time in the near future. Should the bylaws be opened again, we have included a clause ensuring that the PASS membership is involved. I’m proud that the Board has remained committed to transparency and accountability to members. This clause will require that same level of commitment in the future even when all the current Board members have rolled off.
