  • A Bite With No Teeth&ndash;Demystifying Non-Compete Clauses

    *DISCLAIMER: I am not a lawyer and this post in no way should be considered legal advice. I’m also in Canada, so references made are to Canadian court cases. I received a signed letter the other day, a reminder from my previous employer about some clauses associated with my employment and entry into an employee stock purchase program. So since this is in effect for the next 12 months, I guess I’m not starting that new job tomorrow. I’m kidding of course. How outrageous, how presumptuous, pompous, and arrogant that a company – any company – would actually place these conditions upon an employee. And yet, this is not uncommon. Especially in the IT industry, we see time and again similar wording in our employment agreements. But…are these legal? Is there any teeth behind the threat of the bite? Luckily, the answer seems to be ‘No’. I want to highlight two cases that support this. The first is Lyons v. Multari. In a nutshell, Dentist hires younger Dentist to be an associate. In their short, handwritten agreement, a non-compete clause was written stating “Protective Covenant. 3 yrs. – 5mi” (meaning you can’t set up shop within 5 miles for 3 years). Well, the young dentist left and did start an oral surgery office within 5 miles and within 3 years. Off to court they go! The initial judge sided with the older dentist, but on appeal it was overturned. Feel free to read the transcript of the decision here, but let me highlight one portion from section [19]: The general rule in most common law jurisdictions is that non-competition clauses in employment contracts are void. The sections following [19] explain further, and discuss Elsley v. J.G. Collins Insurance Agency Ltd. and its impact on Canadian law in this regard. The second case is Winnipeg Livestock Sales Ltd. v. Plewman. Desmond Plewman is an auctioneer, and worked at Winnipeg Livestock Sales. Part of his employment agreement was that he could not work for a competitor for 18 months if he left the company. Well, he left, and took up an important role in a competing company. The case went to court and as with Lyons v. Multari, the initial judge found in favour of the plaintiffs. Also as in the first case, that was overturned on appeal. Again, read through the transcript of the decision, but consider section [28]: In other words, even though Plewman has a great deal of skill as an auctioneer, Winnipeg Livestock has no proprietary interest in his professional skill and experience, even if they were acquired during his time working for Winnipeg Livestock.  Thus, Winnipeg Livestock has the burden of establishing that it has a legitimate proprietary interest requiring protection.  On this key question there is little evidence before the Court.  The record discloses that part of Plewman’s job was to “mingle with the … crowd” and to telephone customers and prospective customers about future prospects for the sale of livestock.  It may seem reasonable to assume that Winnipeg Livestock has a legitimate proprietary interest in its customer connections; but there is no evidence to indicate that there is any significant degree of “customer loyalty” in the business, as opposed to customers making choices based on other considerations such as cost, availability and the like. So are there any incidents where a non-compete can actually be valid? Yes, and these are considered “exceptional” cases, meaning that the situation meets certain circumstances. Michael Carabash has a great blog series discussing the above mentioned cases as well as the difference between a non-compete and non-solicit agreement. He talks about the exceptional criteria: In summary, the authorities reveal that the following circumstances will generally be relevant in determining whether a case is an “exceptional” one so that a general non-competition clause will be found to be reasonable: - The length of service with the employer. - The amount of personal service to clients. - Whether the employee dealt with clients exclusively, or on a sustained or     recurring basis. - Whether the knowledge about the client which the employee gained was of a   confidential nature, or involved an intimate knowledge of the client’s   particular needs, preferences or idiosyncrasies. - Whether the nature of the employee’s work meant that the employee had   influence over clients in the sense that the clients relied upon the employee’s   advice, or trusted the employee. - If competition by the employee has already occurred, whether there is   evidence that clients have switched their custom to him, especially without   direct solicitation. - The nature of the business with respect to whether personal knowledge of   the clients’ confidential matters is required. - The nature of the business with respect to the strength of customer loyalty,   how clients are “won” and kept, and whether the clientele is a recurring one. - The community involved and whether there were clientele yet to be exploited   by anyone. I close this blog post with a final quote, one from Zvulony & Co’s blog post on this subject. Again, all of this is not official legal advice, but I think we can see what all these sources are pointing towards. To answer my earlier question, there’s no teeth behind the threat of the bite. In light of this list, and the decisions in Lyons and Orlan, it is reasonably certain that in most employment situations a non-competition clause will be ineffective in protecting an employer from a departing employee who wishes to compete in the same business. The Courts have been relatively consistent in their position that if a non-solicitation clause can protect an employer’s interests, then a non-competition clause is probably unreasonable. Employers (or their solicitors) should avoid the inclination to draft restrictive covenants in broad, catch-all language. Or in other words, when drafting a restrictive covenant – take only what you need! D

    Hey Folks -- our company is encountering the same recurring problem - email deliverability. A lot of our emails are still getting trapped in yahoo and gmail spam filters. We followed yahoo's best practices guide as well as tips Ive found on serverfault. (setting up DKIM, SPF) And even took the Email Server Test (http://www.allaboutspam.com/email-server-test/) Now my question is: has anyone had success using whitelist solutions like goodmail or EmailReach? Alternatively, Im beginning to think that going with a email delivery service like Mailchimp will save me the headache and future stress of managing our email lists. So whitelist solution or just fork up the money and send via an email delivery service? Thanks!

  • w2k3 chkdsk errors as vmware 1.8 guest

    We have two Dell servers (CentOS 5.x) hosting a variety of VMs including 3 W2K3 and 1 W2K servers as guests as well as a handful of other Linux guests. Each Windows VM has 2 drives, C: and D:. on 2 of the W2K3 and the W2K boxes we have recurring errors appearing on a daily basis as reported by CHKDSK. We'll run CHKDSK /f and reboot all affected machines and the errors are reported as fixed. The next day CHKDSK will report the same errors. None of the linux guests nor either host report errors when the are rebooted. The RAID controllers are not reporting errors. We're beginning to think that these are phantom errors somehow, but I'm not willing to go to the bank on that just yet. Anybody have similar experiences or advice? Thanks! Sean

  • How much effort is SQL Server 2008 Administration?

    Hi, I am looking for a suitable hosting environment for an ASP.NET MVC application. One of the options I have is renting a Hyper-V server and installing my license of SQL Server 2008 on it. I'm a bit wary of shared hosting since the one I have tried so far did not seem to have very consistent performance. One potential problem is that I would have I do not not know much about SQL Server administration, so I am not sure if this is a good option. I've been running a failover cluster of two linux dedicated servers for over 5 years now and MySQL never gave me any trouble. But that was Linux, and it might be different with a windows system. Is running a halfway efficient MS SQL Server 2008 difficult? Does it require any in-depth administration knowledge? Or perhaps recurring administration effort (such as keeping the server up to date with the latest patches)? Or is it rather an "install and forget" experience similar to MySQL?

I understand that this can occur if the exchange information store is filling up with named properties... but I don't know how to determine which specific named property is at fault here. Is there a way to examine the DB for this type of info to see if there's a specific recurring named property that is consuming resources? -M

  • nsclient++ intermittent connection refused on same subnet

    I have setup Nagios and nsclient++ on a number of my Windows servers. They are all in the same subnet so no routing or firewall stuff is taking place in between the endpoints, and I have verified that the firewalls on the servers are not causing trouble. The problem is that the scheduled checks sometimes fail with "connection refused" and sometimes work! It is a frustrating problem to resolve because I do not know what to look for. One place I did look is in the nsclient++ logs, where I am seeing this recurring error: ...\trunk\modules\CheckSystem\PDHCollector.cpp:148: Failed to query performance counters: \238... This sounds promising, but I couldn't find much on Google about this error as it pertains to NSClient++

Is there any foss software, that could provide next features? 1. unlimited (at least 5) subtask levels 2. easy way to complete tasks (like in todoist) 3. easy to edit tasks 4. php based (as i want to host it on my server) 5. due dates (including recurring) 6. labels, colors, etc will be good, but not critical PS: i already checked several similar questions, including Which GTD tool/webservice do you recommend? But haven't found suitable software yet.

  • Ubuntu Kernel Panic on Inserting Network Cable

    I've been having a recurring kernel panic with my Ubuntu 9.04 installation (see other posts by me). Today, I was fiddling around trying to get some cable attached when the system panicked. Looking at the layout, the only cable in the vicinity was the network cable. Upon further investigation, it seems that the system reliably panics whenever I insert a network cable. Removing the cable does not cause the panic. How do I stop the system panicking when I insert the network cable? If more information is needed, please add comments/answers and I'll post the required data.

    (not exactly sure if this is the right place for this question, but I trust you will migrate it if it isn't) I was having a problem with gdb, and while there issue appears to be recurring, I found only one instance of someone recently experiencing the same problem. I found this other instance on a mailman archived mailing list. Then I tried some more things and finally solved the issue with gdb. So, now I want to report back the solution I found to the mailing list. However, this is really only of use if mailman recognizes my mail as being the same thread as the original problem, but I do not have that mail (just the online archived version of it) so I cannot reply to it. My question: How can I make sure mailman considers my mail as a reply to that thread? Is simply copying the topic enough?

It can also occur when the recycle bin appears to be empty, yet it has the crumpled paper indicator. Rebooting makes the problem go away, but it can also magically go away by just waiting a long time, like over night. But the problem keeps recurring with no rhyme or reason. What is causing this? I really don't want to reinstall Windows.

  • When XP is asleep for a long time LAN reports code 43, gives up the ghost.

    This one's got me stumped. Whenever the system is asleep for a long time, e.g overnight, the LAN driver reports error code 43 ("a problem") and turns itself off. This has being going on for months, but I never caught the problem until now. The owner merely shuttles back to a restore point I set her when the machine worked. Previously (without knowing exactly what was happening) I have tried everything to resolve this. Manually resetting the TCP/IP, fiddling with the driver Wake From LAN settings, DIFFERENT drivers, etc. etc. The solution is easy, uninstalling and reinstalling the driver. Understandably, though, the user is uncomfortable with this operation and the problem persists. What's causing it and how to stop it recurring? Any ideas? Thanks in advance to this great community.   • How to scrub a document of all text between brackets with find and replace

    I have a log file and I need to find all instances of <password> hash here </password> and remove the hash and replace it with some dummy text like aaa-aaa-aaa-aaaa. The recurring search argument is anything that matches a bracket that starts with <password> and ends with </password>. All the hashes being replaced will be different. What's the easiest way to go a bout this? The log is on a windows machine. Probably easiest would be to use MS word for me, unless it's achievable with wordpad, notepad, or some other light weight editor like textpad. thanks

  • After creating a mysql user with all privileges, the user cannot create databases in phpMyAdmin and only sees information_schema table

    This is a recurring problem for some reason... Using mysql 5.5, I am simply trying to create a user that can connect to the database remotely, have access to all databases, and create databases. I have created a user using: create user 'dev'@'%' identified by 'abcdefg'; then granted all permissions using: GRANT ALL ON *.* to 'dev'@'192.168.%' IDENTIFIED BY 'abcdefg' WITH GRANT OPTION; and the result is that the user cannot create databases, and can only see information_schema database for some reason.   • What, if anything, to do about bow-shaped burndowns?

    I've started to notice a recurring pattern to our team's burndown charts, which I call a "bowstring" pattern. The ideal line is the "string" and the actual line starts out relatively flat, then curves down to meet the target like a bow. My theory on why they look like this is that toward the beginning of the story, we are doing a lot of debugging or exploratory work that is difficult to estimate remaining work for. Sometimes it even goes up a little as we discover a task is more difficult once we get into it. Then we get into implementation and test which is more predictable, hence the curving down graph. Note I'm not talking about a big scale like BDUF, just the natural short-term constraint that you have to find the bug before you can fix it, coupled with the fact that stories are most likely to start toward the beginning of a two-week iteration. Is this a common occurrence among scrum teams? Do people see it as a problem? If so, what is the root cause and some techniques to deal with it?

  • What groupware/project-management apps (preferably self-hosted webapp) do you recommend for a small dev shop?

    I run a small Drupal consulting shop and we've been trying different groupware solutions for what seems like ages, yet nothing we've found seems to be a good fit. We don't need CRM-overkill such as SugarCRM offers -- it's just too much for our small size. We do need git integration (at a minimum, an easy way to associate commits with issues) Time tracking on configurable or 15m increments per-project issue tracking billing (incl. recurring billing for support contracts, etc) some sort of per-project notes/wiki for things like login credentials, client contact info, etc. Contact logging (Client foo called at 2:20pm and asked to add bar to the spec, signed addendum with pricing due to client NLT CoB today, to be returned by CoB tomorrow) Open source solutions are greatly preferred to closed ones Most of all, it should be very efficient to use. Several solutions just fell out of use here because they required too many clicks for simple, frequent tasks like logging time spent on an issue or noting a call from a client. It shouldn't take 20 minutes to make a note. Edit: I almost forgot to mention: we're a mixed Linux/Mac shop with no Windows users.

  • Strange characters appearing on websites - ASCII? - UNICODE?

    I have created many very simple pure HTML websites over the years. Most of them appear to work fine most of the time. But there is one recurring problem which I have never quite sorted out involving strange characters. The scenario goes like this: I create the site. I look at it in my browser, everything appears fine. I may look at it a great many times over the coming weeks or months as I make additions here and there. Perhaps on a variety of browsers on a variety of PC's. Then one day I look at the page and see a random sprinkling of white question marks against dark diamond shapes. These might appear where I had expected to see hyphens or quotes or apostrophes. My immediate thought is that my browser got into some strange state because I was looking at some foreign website with strange characters, but I'm never quite sure. I'm left with that nagging feeling that perhaps half the planet is seeing my website with funny question marks all over it. So my question is what's going on? What should I do to ensure that as many people as possible around the world can view my text as I originally intended? Should I be using those special html sequences like &pound; for all non alphanumeric characters? Should I worry at all? Edit: Right now I have the problem occurring on this page: http://www.fullreservebanking.com/papers.htm ... part of it looks like this: I am using FireFox 5 and the character encoding currently appears to be "UNICODE (UTF-8)". I do not remember manually setting the character encoding to anything since installation. I do occasionally look at Japanese websites for work related reasons - though when I do so, I do not manually make any changes to firefox settings. Edit: Now fixed. Web page altered accordingly.

For your review, listed below are domain names and their expiration dates. F.....COM - Mar. 09, 2011 Since I lost the domain name long time ago and couldn't get it back I asked if it was available again. Goddady replyed: According to WHOIS the domain name is registered to a Japanese company with the expiry date: 2011-12-02. I wrote to Godaddy: According to your information the domain holder is a Japanese company as described below. Can you give me an explanation why you send me an email asking me to pay for a domain name which I do not own? (Expiration Date: 2011-12-02) I am just curious, I am sure there is no ill will on your part. Godaddy answered: Dear Sir or Madam, Thank you for contacting online support. This was just to let you know the domain is registered to someone else and who. Then today I got yet another invoice asking me to renew the same domain name once again: **REMINDER: Renew early for multiple years and lock in your savings! The product(s) listed below have expired or are at risk of expiring: Product NameNext Attempt Date.COM Domain Name Renewal - 1 Year (recurring)03/14/2011 F........COM You are at risk of losing the service(s) or product(s) listed above. Your products are currently set to renew manually – they will NOT be renewed automatically on the next attempt date.** The expiry date has now been changed from the 9 of March to the 14 March. Another party owns the domain name and further the domain name was never registered with Godaddy. This appears like a way to make a few buck on a unsuspecting customer, it might even be illegal. Any comment how to take this futher would be most welcome.

  • CSS help positioning divs inline

    I need help with a recurring problem that happens a lot. I want to create a header that consists of 3 sections which are positioned inline. I display them inline using the following css code: display: inline & float: leftThe problem is that when I resize my browser window the last div is pushed down and isn't displayed inline. I know it sounds like I'm being picky, but I don't want the design to distort as the visitor change's the monitor screen. I have provided the html and css code below that I am working with below.   • Access Control and Accessibility in Oracle IRM 11g

    A recurring theme you'll find throughout this blog is that IRM needs to balance security with usability and manageability. One of the innovations in Oracle IRM 11g typifies this, as we have introduced a new right that may be included in any role - Accessibility. When creating or modifying a role, you simply select Accessibility along with Open, Print, Edit or whatever rights you want to include in the role. You might, for example, have parallel roles of Reader and Reader with Accessibility and Contributor and Contributor with Accessibility. The effect of the Accessibility right is to relax some of the protection of content in use such that selected users can use accessibility tools. For example, a user with the Accessibility right would be able to use the screen magnification tool, which IRM would ordinarily prevent because it involves screen capture. This new right makes it easy for you to apply security to documents yet, subject to suitable approval processes, cater for the fact that a subset of users might be disproportionately inconvenienced by some of the normal usage constraints. Rather than make those users put up with the restrictions, or perhaps exempt them from using sealed documents altogether, this new right allows you to accommodate them in a controlled manner, and to balance security with corporate accessibility goals.

  • What is a good support knowledge base tool?

    I have been searching for a tool to help my team organize its knowledge for resolving recurring support cases. I know this question will probably be closed, but I'll try my change anyway because I know that I can have some good answers about that. Context: our team is developing and supporting an huge applications (lots of different screens and workflow processes. We already have a good tool for managing our documentation, but we are struggling with support cases. Support action involve often quite a lot of manual steps to fix stuff and the knowledge for these actions is more 'oral transmission' than modern tools. We need an efficient way to store them in a knowledge base to be able to retrieve similar cases based on patterns (a stacktrace, an error message, a component name, a workflow step, ...) and ranked by similarity. Our wiki search is not very powerful when it come to this kind of search and the team members don't want to 'waste' time writing a report that will never be found... Do you know efficient knowledge base tool for this kind of use case ?

  • High quality/performance shared hosting (in northern Europe)

    I work as a web developer on almost all levels. However, my typical customer is a 1-5 guys running some sort of consulting business. They have (or want) a web page with some kind of CMS so the can perform most (or all) editing themselves. I normally opt for Concrete5 as my default CMS because it's the most user friendly (and free) CMS I have found. My good recurring customers I host on my own server as a service, but I need a good host for the customers where I want to deliver a product and not be responsible for whatever may happen in the future. However, I still struggle with hosting! Experience shows that the typical ~1$ shared hosting is waaay to slow to run concrete5 smoothly, and a VPS is out of the question because I don't want to maintain it. So, where can I find as fast (from northern Europe), reliable, shared host where I can put a site and don't have to worry about the server going down or being unmaintained. I expect this should cost around $10-$20 but I'm open to all kinds of suggestions because different customers have different budgets.

  • Impossible to enable bluetooth under Ubuntu

    I just installed Ubuntu 12.04 (dual boot, kept Windows just in case) on my new Acer Aspire One 756-877. As soon as I installed it I also installed the Broadcom driver, since wifi wasn't working, and that solved it right away. But when I tried Bluetooth, I had a problem that I see is quite recurring: -The hardware is on (and working fine under Windows) -The icon shows up on the menu, giving me the options of turning Bluetooth on or off, and then just "Bluetooth preferences". -I can apparently turn it on that way, which only lights up the icon but makes no difference at all (and doesn't give any other options in the Bluetooth menu) -When I open "Bluetooth preferences" (whether Bluetooth is apparently on or off, it makes no difference), it says it's disabled and will not let me slide the button to enable it. I've rebooted, but nothing happens. -The material is Broadcom and the port (if it's relevant at all) is Port_#0001.Hub_#0003 I tried the following commands suggested in other similar questions, with no result at all: sudo dmesg | grep blue and sudo service bluetooth start and sudo /etc/init.d/bluetooth start Any other clues on what I can do?     We are pleased to announce the general availability of Oracle Utilities Customer Care & Billing 2.4.0 SP1. Key Features & Benefits: Oracle Utilities Customer Care & Billing 2.4.0 SP1 includes several base enhancements and a new licensable module called Customer Program Management. Key base enhancements in this release are: Configuration Migration Assistant (Additional Migration Plans) – Configuration Migration Assistant (CMA) was introduced in Oracle Utilities Application Framework V4.2.0 to supersede the ConfigLab facility. Oracle Utilities Customer Care and Billing now has a large number of migration plans to support migrating administration objects between environments. Encryption – Ability to configure encryption for fields that store sensitive data such as credit card numbers, bank account numbers, social security numbers, and MICR ID. Single Euro Payments Area (SEPA) Direct Debit – Functionality for configuring recurring direct debit payments in accordance with the Single Euro Payments Area (SEPA) initiative. Usage Enhancement for Bill Print – Allows additional information to be captured on a usage request to support billing when meter reads are not obtained from Oracle Utilities Customer Care & Billing but from a meter data management system (e.g. Oracle Utilities Meter Data Management). Preferences Portal – Communication preference zones allowing utilities to track customers’ preferred communication channels for various types of notifications or communications (e.g. phone, SMS, email).
